Retrium Next (Beta)

Effective Date: August 10, 2026

These Terms & Conditions (the “Terms”) govern your access to and use of Retrium Next (the “Beta Service” or “Service”), a beta product provided by Retrium, Inc. (“Retrium,” “we,” “us,” or “our”). By accessing or using the Beta Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” and “Customer” refer to that organization. If you do not agree to these Terms, do not use the Service.

Beta notice. Retrium Next is a pre-release, beta version of the Service made available for evaluation and feedback. It is provided “as is” and “as available,” may contain bugs, errors, and incomplete features, and may change at any time. During the beta period, Retrium makes no data retention, backup, availability, uptime, or service-level commitments. Your data may be deleted or lost, and the Service may be modified, suspended, or discontinued, at any time and without notice or liability. Do not use the Beta Service as the sole repository for any information that is important to you.

1. Acceptance and Beta Status

The Service is a beta offering. Retrium may add, change, or remove features, and may impose or change usage limits, at any time. These Terms apply for the duration of the beta and to any successor or renamed beta releases, unless Retrium provides updated terms. Retrium may end the beta at any time.

2. Your Account

You must be at least 18 years old to use the Service, consistent with the requirements of the AI providers that process content for the Service. You must provide accurate and complete registration information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at next@retrium.com of any unauthorized use. You may register for and use the Service only in accordance with these Terms and applicable law.

3. Access to the Service; License

Subject to these Terms, Retrium grants you a limited, nonexclusive, nontransferable, revocable license to access and use the Service during the beta period, solely for your internal business purposes of evaluating and using the Service. You may not sublicense, resell, or make the Service available to third parties except your authorized team members. All rights not expressly granted are reserved by Retrium.

4. Beta Service; No Availability, Data Retention, or Recovery Commitments

You acknowledge and agree that, because the Service is in beta:

You are solely responsible for maintaining independent copies and backups of any data or content you consider important. This Section describes Retrium’s contractual commitments (or absence of them); Retrium’s intended data-handling and deletion practices are described in the Privacy Policy.

5. Modifications to the Service

Retrium reserves the right to modify, suspend, or discontinue the Service or any part of it, temporarily or permanently, at any time, with or without notice. You agree that Retrium will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

6. Feedback and Product Improvements

We welcome your feedback about the Beta Service. “Feedback” means suggestions, ideas, and recommendations about the Service, and does not include Customer Content. If you provide Feedback, you grant Retrium a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that Feedback into our products and services without restriction or obligation to you. Retrium may also collect and analyze Usage Data (as defined in Section 8) to operate and improve the Service. This Section does not expand Retrium’s rights in Customer Content, which are governed by Sections 7 and 8.

7. Your Data

As between you and Retrium, you retain all rights you hold in the data and content you and your users submit to the Service, including retrospective notes, comments, votes, interview and survey responses, action items, and similar materials, together with any outputs derived from them that identify or are reasonably linkable to you or an individual (“Customer Content,” also referred to as “Your Data” or “Your Content”). You grant Retrium a nonexclusive, worldwide, royalty-free right to collect, use, copy, store, transmit, and process Customer Content, and to create derivative works of it, in each case solely as necessary to provide, secure, support, troubleshoot, and improve the Service for you and as described in these Terms and our Privacy Policy. This license is subject to the restrictions in Section 8; it does not permit Retrium to sell or share Customer Content, to use it for advertising, or to use it for any purpose not described in these Terms or the Privacy Policy; and it terminates when the Customer Content is deleted or returned, except for residual copies held in routine backups pending deletion in the ordinary course and copies Retrium is required to retain by law. You represent that you have all rights necessary to submit Customer Content and to grant this license.

8. AI Features and Customer Content

The Service includes features that use artificial intelligence (“AI”) to help summarize, organize, group, and surface themes from retrospective content and to provide related suggestions. AI inference is performed through OpenRouter using Google’s Gemini models as Retrium’s sole model provider, so requests are processed only on Google’s infrastructure and meet the requirements below.

Additional detail about how information is processed in AI features—including what is sent to AI providers, who may access it, and applicable retention limits—is described in the Privacy Policy.

9. Responsibility for Your Data

You are solely responsible for Customer Content, including its accuracy, quality, legality, and appropriateness, and for obtaining any consents and providing any notices required to submit it to the Service (including any workplace or employee notices). Given the beta nature of the Service, you are responsible for maintaining your own backups of Customer Content.

10. Highly Sensitive Data

The Service is designed to process ordinary workplace collaboration information, including names, professional information, opinions, comments, votes, interview responses, and action items. The Service is not designed to process Highly Sensitive Data. You will not intentionally submit protected health information regulated by HIPAA, payment card information subject to PCI DSS, financial account credentials, passwords, authentication secrets, government identification numbers, biometric identifiers, precise geolocation information, or other information that would subject Retrium to sector-specific regulatory requirements not expressly agreed to in writing. Retrium is not HIPAA compliant. You should avoid including sensitive personal information that is not reasonably necessary for a retrospective. An incidental submission does not itself constitute a breach if you promptly remove the information after becoming aware of it or after receiving notice from Retrium.

11. Acceptable Use

You agree not to: use the Service in violation of any law or these Terms; infringe the intellectual property or privacy rights of others; upload malicious code or attempt to gain unauthorized access to the Service or its systems; interfere with or disrupt the integrity or performance of the Service; reverse engineer or attempt to derive source code except as permitted by law; or use the Service to send spam or unlawful, harassing, or objectionable content.

12. Removals and Suspension

Retrium may remove content, or suspend or terminate your access, at any time if we reasonably believe you have violated these Terms or applicable law, or to protect the Service, other users, or third parties. We may also do so at our discretion given the beta nature of the Service.

13. Third-Party Links and Services

The Service may link to or integrate with third-party websites and services. Retrium does not control and is not responsible for third-party content, products, or practices, and your use of third-party services is governed by their terms.

14. Intellectual Property

The Service, including all software, text, graphics, logos, and other materials provided by Retrium, and all intellectual property rights in them, are and remain the exclusive property of Retrium and its licensors. “Retrium” and “Retrium Next,” and related marks, are trademarks of Retrium, Inc. These Terms do not grant you any right to use them without our prior written permission.

15. Data Processing Addendum

To the extent Retrium processes personal data on your behalf as a processor or service provider in connection with the Service, our Data Processing Addendum (“DPA”) applies and is incorporated into these Terms by reference. Where the DPA conflicts with these Terms with respect to the processing of such personal data, the DPA controls. To request a signed DPA, contact next@retrium.com.

16. Changes to These Terms

Retrium may modify these Terms at any time, particularly while the Service is in beta. When we do, we will revise the “Effective Date” above and post the updated Terms. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17. Termination

Retrium may terminate or suspend your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately, including by ending the beta. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately, and Retrium has no obligation to retain Customer Content. Retrium will delete Customer Content following termination in accordance with the retention and deletion practices in the Privacy Policy and, where Retrium acts as a processor, the DPA, and will not use it for any other purpose in the meantime. Provisions that by their nature should survive termination will survive.

18. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. RETRIUM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT DATA WILL BE PRESERVED OR RECOVERABLE. AI FEATURES MAY PRODUCE INACCURATE OR INCOMPLETE OUTPUTS, AND YOU ARE RESPONSIBLE FOR REVIEWING THEM BEFORE RELYING ON THEM. YOU USE THE BETA SERVICE AT YOUR OWN RISK.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETRIUM AND ITS AFFILIATES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. IN ALL CASES, RETRIUM’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO RETRIUM FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

20. General Representation and Warranty

You represent and warrant that your use of the Service will comply with these Terms and all applicable laws and regulations, and that you will not use the Service in any manner that infringes the rights of, or restricts or inhibits the use of the Service by, any third party.

21. Indemnification

You agree to defend, indemnify, and hold harmless Retrium, its affiliates, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Service, Customer Content, or your violation of these Terms or applicable law.

22. Dispute Resolution and Governing Law

These Terms, and any dispute arising out of or related to them or the Service, will be governed by the laws of the State of New York, U.S.A., excluding its conflict-of-law provisions. Except where prohibited by applicable law, any dispute that cannot be resolved informally shall be finally resolved by binding arbitration, and arbitration shall take place in Montgomery County, Maryland. You and Retrium agree to first attempt to resolve any dispute informally by contacting the other party.

23. Entire Agreement; Severability; Waiver

These Terms, together with the Privacy Policy, the DPA (where applicable), and any other policies referenced here, constitute the entire agreement between you and Retrium regarding the Beta Service and supersede any prior agreements on that subject. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Retrium’s failure to enforce any right or provision is not a waiver of that right or provision.

24. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Retrium’s prior written consent. Retrium may assign these Terms without restriction. Any attempted assignment in violation of this section is void.
